These Terms of Service ("Terms") govern your access to and use of the Codoer platform, including our website at codoer.com, our AI agent Codoer, and all related services (collectively, the "Service"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1.Overview of the Service

Codoer is an AI-powered platform that generates social media content, publishes posts, replies to comments, and performs audience research on your behalf using an AI agent called Codoer. The Service connects to your LinkedIn and X (Twitter) accounts via authorized OAuth connections and performs actions on those accounts based on your configuration and approval settings.

Codoer is an AI agent, not a human. All content generated, published, or suggested by Codoer is created by artificial intelligence. While we strive for high quality, AI-generated content may contain errors, inaccuracies, or statements that do not reflect your views. You are responsible for reviewing and approving content before it is published on your accounts.

2.Eligibility

You must be at least 18 years of age to use the Service. By using the Service, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into these Terms. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

3.Account Registration

To use the Service, you must create an account and provide accurate, complete, and current information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

You may register using a third-party authentication provider (such as Google). By doing so, you authorize us to access certain account information from that provider in accordance with our Privacy Policy.

4.Connected Social Media Accounts

4.1 Authorization

The Service requires you to connect your LinkedIn and/or X (Twitter) accounts via OAuth. By connecting your accounts, you authorize Codoer to:

  • Read your profile information and public posts
  • Publish posts and replies on your behalf
  • Access engagement metrics (likes, comments, reposts, follower counts)
  • Read comments on your published posts

4.2 Your Control

You retain full control over your connected accounts at all times. You may:

  • Disconnect your accounts from Codoer at any time through your Settings
  • Revoke access directly through LinkedIn's or X's settings
  • Set your autopilot level to control how much content Codoer publishes without your explicit approval

4.3 Your Responsibility

You are solely responsible for all content published to your social media accounts through the Service, including content generated by Codoer that you have approved or that was auto-published based on your autopilot settings. We do not guarantee that content generated by Codoer will comply with LinkedIn's or X's terms of service, community guidelines, or any applicable laws. You should review all content before approving it for publication.

4.4 Platform Compliance

We design Codoer's behavior to comply with LinkedIn's and X's terms of service and rate limits to the best of our ability. However, we cannot guarantee that your use of the Service will not result in actions taken against your social media accounts by those platforms, including but not limited to reduced reach, content removal, account suspension, or account termination. You use the Service at your own risk with respect to your social media accounts.

5.AI-Generated Content

5.1 Nature of AI Content

All content generated by Codoer is produced by artificial intelligence models. This content:

  • May not be factually accurate
  • May not reflect your personal views or opinions
  • May inadvertently resemble content created by others
  • May not be suitable for all audiences or contexts

5.2 No Guarantee of Results

We do not guarantee any specific results from using the Service, including but not limited to follower growth, engagement rates, reach, impressions, or revenue. Past performance results shared by us or other users are not guarantees of future results.

5.3 Content Ownership

Content generated by Codoer using your voice profile and topics is created for your use. You may use, modify, and publish this content as you see fit. However, we retain the right to use anonymized and aggregated data about content performance to improve the Service.

5.4 Content You Provide

You retain ownership of all content you provide to the Service, including your existing social media posts used for voice analysis, topic preferences, and any edits you make to Codoer's drafts. By providing this content, you grant us a limited, non-exclusive license to use it solely for the purpose of providing and improving the Service.

6.Acceptable Use

You agree not to use the Service to:

  • Publish content that is illegal, defamatory, harassing, threatening, obscene, or otherwise objectionable
  • Impersonate any person or entity, or misrepresent your affiliation with any person or entity
  • Violate any applicable law, regulation, or third-party rights
  • Attempt to gain unauthorized access to the Service or its systems
  • Interfere with or disrupt the Service or its infrastructure
  • Send spam, unsolicited messages, or engage in any form of bulk messaging not intended by the Service
  • Reverse engineer, decompile, or otherwise attempt to extract the source code of the Service
  • Use the Service in any manner that could damage, disable, or impair the Service
  • Resell or redistribute access to the Service without our written consent
  • Generate content that promotes violence, hatred, or discrimination against any individual or group
  • Connect accounts that you do not own or do not have authorization to manage

7.Subscription and Payment

7.1 Plans and Pricing

The Service is offered on a subscription basis. Current pricing is available on our website. We reserve the right to change our pricing at any time, provided that we give you at least 30 days' notice of any price increase. Price changes will take effect at the start of your next billing cycle after the notice period.

7.2 Free Trial

We may offer a free trial period. During the trial, you will have access to the full Service. A valid payment method is required to start a trial. If you do not cancel before the trial period ends, your payment method will be automatically charged the applicable subscription fee.

7.3 Billing

Subscriptions are billed in advance on a monthly or annual basis, depending on the plan you select. All payments are processed through Stripe. By subscribing, you authorize us to charge your payment method on a recurring basis until you cancel.

7.4 Cancellation

You may cancel your subscription at any time through your account Settings. Upon cancellation, your subscription will remain active until the end of your current billing period. After that, Codoer will stop all activity on your accounts. We do not provide prorated refunds for partial billing periods.

7.5 Pausing

You may pause your subscription for 1, 2, or 3 months. During a pause, Codoer will stop all activity and you will not be charged. Your data and settings will be preserved. Your subscription will automatically resume at the end of the pause period. You may pause a maximum of 2 times per 12-month period.

7.6 Refunds

All fees are non-refundable except as required by applicable law. If you believe you have been charged in error, please contact us at support@codoer.com within 14 days of the charge.

8.Intellectual Property

8.1 Our Property

The Service, including its software, design, features, algorithms, and documentation, is owned by Codoer and is protected by intellectual property laws. These Terms do not grant you any rights to our intellectual property except the limited right to use the Service as described herein.

8.2 Feedback

If you provide us with feedback, suggestions, or ideas about the Service, you grant us a perpetual, irrevocable, royalty-free license to use, modify, and incorporate that feedback into the Service without any obligation to you.

9.Data and Privacy

Your privacy is important to us. Our collection, use, and protection of your personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to the practices described in our Privacy Policy.

10.Third-Party Services

The Service integrates with third-party platforms including LinkedIn, X (Twitter), Anthropic (AI models), Stripe (payments), and Clerk (authentication). Your use of these third-party services is subject to their respective terms and policies. We are not responsible for the actions, content, or policies of any third-party service.

11.Limitation of Liability

11.1 Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure, or that any content generated by Codoer will be accurate, complete, or suitable for any purpose.

11.2 Limitation

To the maximum extent permitted by applicable law, in no event shall Codoer, its officers, directors, employees, or agents be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, reputation, social media account access, followers, or goodwill, arising out of or related to your use of the Service, regardless of the theory of liability. Our total aggregate liability for all claims arising out of or related to these Terms or the Service shall not exceed the amounts you have paid to us in the twelve (12) months preceding the claim.

11.3 Specific Disclaimers

Without limiting the above, we are specifically not liable for:

  • Any actions taken by LinkedIn, X, or other platforms against your accounts as a result of your use of the Service
  • Any loss of followers, reach, or engagement on your social media accounts
  • Any content published by Codoer that you approved or that was auto-published under your autopilot settings
  • Any business losses resulting from content generated by the Service
  • Any interruption of the Service due to circumstances beyond our reasonable control

12.Indemnification

You agree to indemnify, defend, and hold harmless Codoer and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to:

  • Your use of the Service
  • Content published to your social media accounts through the Service
  • Your violation of these Terms
  • Your violation of any third-party rights
  • Any dispute between you and any third party related to content published through the Service

13.Account Termination

13.1 By You

You may close your account at any time through your account Settings or by contacting us at support@codoer.com.

13.2 By Us

We may suspend or terminate your account at any time, with or without cause, and with or without notice. Reasons for termination may include, but are not limited to, violations of these Terms, fraudulent activity, or failure to pay fees.

13.3 Effect of Termination

Upon termination, your right to use the Service will immediately cease. We will disconnect all connected social media accounts. We may retain your data for up to 30 days after termination for administrative purposes, after which it will be deleted. Any outstanding fees owed at the time of termination remain payable.

14.Modifications to the Service and Terms

14.1 Service Changes

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice. We are not liable to you or any third party for any modification, suspension, or discontinuation of the Service.

14.2 Terms Changes

We may update these Terms from time to time. If we make material changes, we will notify you by email or through the Service at least 30 days before the changes take effect. Your continued use of the Service after the effective date constitutes your acceptance of the updated Terms.

15.Dispute Resolution

15.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

15.2 Informal Resolution

Before filing any formal legal claim, you agree to first contact us at support@codoer.com and attempt to resolve the dispute informally for at least 30 days.

15.3 Arbitration

Any dispute arising out of or relating to these Terms or the Service that cannot be resolved informally shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall be conducted in English. The arbitrator's decision shall be final and binding.

15.4 Class Action Waiver

You agree that any claims against Codoer shall be brought in your individual capacity and not as a plaintiff or class member in any purported class or representative proceeding.

16.General Provisions

Entire Agreement. These Terms, together with the Privacy Policy, constitute the entire agreement between you and Codoer regarding the Service.
Severability. If any provision of these Terms is found to be unenforceable, the remaining provisions shall remain in full force and effect.
Waiver. Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision.
Assignment. You may not assign or transfer your rights under these Terms without our prior written consent. We may assign our rights and obligations under these Terms without restriction.
Force Majeure. We shall not be liable for any failure or delay in performing our obligations due to circumstances beyond our reasonable control, including but not limited to natural disasters, acts of government, internet outages, or third-party service failures.
